Terms of Service

1. Definitions

In these Terms, the following definitions apply:

• "ValidUCP", "we", "us", "our" refers to ValidUCP and its operators.
• "Platform" refers to the ValidUCP website (validucp.com), application (app.validucp.com), API, and all related services.
• "User", "you", "your" refers to any individual or entity accessing or using the Platform.
• "Scan" refers to a single audit of a URL through the ValidUCP analysis engine.
• "Agentic Maturity Score" refers to the proprietary 0–100 composite score generated by ValidUCP.
• "Content" refers to all data, reports, scores, recommendations, and outputs generated by the Platform.

2. Access & Account

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use ValidUCP. By using the Platform, you represent and warrant that you meet these requirements.

2.2 Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials.

2.3 Account Security

You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

2.4 Free Plan Limitations

The free plan provides access to limited features as described on our pricing page. We reserve the right to modify free plan limitations at any time with reasonable notice.

3. Acceptable Use

You agree to use ValidUCP only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform to scan URLs or domains you do not own or have explicit authorization to audit
• Attempt to reverse-engineer, decompile, or extract our scoring methodology or AI models
• Use automated systems to make excessive API requests beyond your plan limits
• Resell, sublicense, or redistribute ValidUCP outputs without written permission (except as expressly permitted under the Agency plan)
• Use the Platform in any manner that could damage, disable, or impair our infrastructure
• Attempt to gain unauthorized access to any portion of the Platform or its related systems
• Use the Platform to generate misleading or fraudulent compliance reports

We reserve the right to suspend or terminate accounts that violate these usage policies without prior notice.

4. Intellectual Property

4.1 ValidUCP IP

The Platform, including the 73-criteria referential, Agentic Maturity Score methodology, scoring algorithms, AI evaluation logic, visual design, and all associated intellectual property, is owned exclusively by ValidUCP and protected by applicable intellectual property laws.

4.2 Your Content

You retain ownership of any data you submit to the Platform (e.g. store URLs). By submitting content, you grant ValidUCP a limited, non-exclusive license to process this data solely for the purpose of providing the service.

4.3 Scan Reports

Reports generated by ValidUCP are licensed to you for your own internal business use. You may share reports with clients under the Agency plan. You may not publish, sell, or publicly redistribute raw report data without attribution to ValidUCP.

5. Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using ValidUCP, you consent to the practices described in our Privacy Policy.

Scanned URLs and their associated data may be stored to improve our scoring models. No personally identifiable information from scanned websites is retained beyond what is necessary for service delivery.

6. Payment & Billing

6.1 Paid Plans

Paid plans are billed monthly or annually as selected at checkout. All fees are stated in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated.

6.2 Cancellation

You may cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods, except where required by applicable law.

6.3 Payment Failures

If payment fails, we may suspend your account after a grace period of 7 days. We will attempt to notify you by email before suspension.

6.4 Price Changes

We reserve the right to change pricing with 30 days' prior notice. Continued use after the notice period constitutes acceptance of the new pricing.

7. Disclaimers & Limitations of Liability

7.1 No Guarantees

ValidUCP provides audit scores and recommendations based on our methodology as of the date of the scan. We do not guarantee that implementing our recommendations will result in specific business outcomes, revenue increases, or AI agent discoverability.

7.2 As-Is Service

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

7.3 Limitation of Liability

To the maximum extent permitted by law, ValidUCP's total liability to you for any claims arising from your use of the Platform shall not exceed the amounts paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

8. Termination

We may suspend or terminate your access to ValidUCP at any time, with or without cause, with or without notice. Upon termination:

• Your right to access the Platform ceases immediately
• Your data may be retained for up to 90 days before deletion, unless earlier deletion is requested
• Sections 4, 7, 9, and 10 of these Terms survive termination

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of Tunisia. Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to the competent courts of Tunis, Tunisia.

If you are a consumer in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

10. Changes to These Terms

We may update these Terms at any time. We will notify registered users by email and post the updated Terms on this page with a new effective date. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
